Terms of Service & Privacy Policy

Shortpay L.L.C. ("Shortpay", "we", "us") is a Colorado limited liability company that audits marketplace seller accounts for unrecovered reimbursements and files claims on the seller's behalf. This page is the agreement between us and you, the seller ("you"), written to be read rather than skimmed past.

1. What the service is

We reconcile the reports your marketplace produces — inventory, orders, returns, removals, fees, and payouts — against what you were actually paid, identify discrepancies that appear to be reimbursable, and prepare and submit claims for them through the marketplace's own case systems.

We currently cover Amazon FBA, Walmart WFS, and TikTok Shop (Fulfilled by TikTok, "FBT"). We are an independent service. We are not affiliated with, endorsed by, or acting as an agent of Amazon, Walmart, TikTok, or any other marketplace, and we have no ability to compel any of them to pay a claim.

2. Fees, and the current free period

At present the service is provided free of charge: no audit fee, no filing fee, and no percentage of amounts recovered. You keep the entirety of any reimbursement.

We may introduce fees in the future. If we do:

3. Account access and what we may do with it

We ask for the narrowest access that lets us do the work: read-only, report-level access to your seller account, or report exports you send us directly.

We will not, and where access is properly scoped cannot: change listings, change pricing, alter inventory, initiate or redirect payouts, move funds, change account or banking settings, or grant access to anyone else.

You may revoke our access at any time, from your own seller dashboard, without notifying us first.

4. Your approval, and your responsibilities

No claim is submitted without your approval. We present what we found, what we intend to file, and the documentation supporting it. Nothing goes to the marketplace until you say so. Claims are prepared and submitted by a person, not filed automatically in bulk.

For our part, we rely on you to give us accurate information — cost basis, invoices, and the account context that claims depend on — and to tell us if another party is already filing reimbursement claims on the same account, since duplicate claims for the same discrepancy are a genuine risk to your account standing.

5. Reversals and clawbacks

Marketplaces sometimes reverse a reimbursement after paying it — for example if lost inventory is later found, or an automated review reaches a different conclusion than the first one did. This is outside our control and outside theirs in any predictable way.

Where it happens, we will identify the reversal against the claim that produced it, tell you, and contest it where there is a case to be made.

You will never owe us anything in respect of a reimbursement that has been clawed back. During the free period this is trivially true. If fees are ever introduced, a reversed reimbursement is not billable, and any fee already charged against an amount subsequently reversed will be credited or refunded to you.

6. What we don't promise

We don't promise that any particular claim will be paid, that any amount will be recovered, or that an audit will find anything at all. Figures shown on our website, including the sliders and the sample ledger, are illustrative and are not an estimate of your account.

We are not lawyers, accountants, or tax advisers, and nothing we provide is legal, accounting, or tax advice. Reimbursements you receive may have tax consequences; that's between you and your accountant.

7. Confidentiality

We treat everything we see in your account as confidential. We will not disclose it to anyone outside Shortpay except where you direct us to, or where we are legally compelled — in which case we'll tell you unless we're prohibited from doing so.

We're happy to sign your NDA before you send us anything. Ask, and we'll sign it.

8. Ending the engagement

Either of us can end this at any time, for any reason, with no notice period and no termination fee. On request we'll close out or hand over open claims, delete your data as described in the privacy policy below, and confirm when it's done.

9. Liability

We provide the service with reasonable care and skill. To the fullest extent permitted by Colorado law, Shortpay is not liable for indirect or consequential losses, for lost profits, or for marketplace decisions we don't control — including denied claims, reversed reimbursements, or actions a marketplace takes against your account.

Where liability cannot be excluded, our total liability to you is limited to the fees you have paid us in the twelve months preceding the claim. During the free period, that amount is zero, which is the honest consequence of a free service and a reason to keep the engagement small until we've earned more than that.

Nothing here limits liability for fraud, willful misconduct, or anything else that cannot lawfully be limited.

10. Governing law and disputes

These terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. If something goes wrong, email us first — we'd much rather fix it directly. Failing that, the state and federal courts located in Colorado have exclusive jurisdiction.

11. Changes to these terms

If we change these terms materially, we'll update the date at the top and tell active clients by email. Changes are not retroactive, and any change that introduces or increases a fee requires your agreement under section 2 before it applies to you.

Privacy Policy

This covers what we do with information from your seller account and from you directly.

What we collect

This website itself sets no analytics or advertising cookies and does not track you. A theme preference, if you set one, is stored in your own browser and never reaches us.

What we use it for

One thing: finding, documenting, filing, and following up claims on your account, and telling you what happened. We do not sell it, rent it, publish it, pool it into benchmarks or market reports, or use it to inform work for another seller.

Who can see it

The two of us — Kavin Ramesh and Sriyans Pattanaik. No contractors, no virtual assistants, no outsourced review team.

Beyond people, your data passes through ordinary business software: email and file storage, and the automated tooling we use to reconcile reports line by line. Those providers process data only to provide that service to us. We keep the number of them small deliberately, and we'll tell you which ones if you ask.

How long we keep it

For as long as the engagement runs, plus whatever period is needed to see open claims through and keep a record of what was filed. Ask us to delete your data and we'll delete it — working files, exports, and the copies in our tooling — and confirm when it's done.

How it's protected

Access is limited to the two of us on accounts secured with multi-factor authentication, we request read-only marketplace access rather than anything broader, and we don't move your data around more than the work requires.

Your choices

You can revoke our marketplace access at any time from your seller dashboard. You can ask us for a copy of what we hold, ask us to correct it, or ask us to delete it, by emailing the address below. We'll act on it and confirm.
